TERMS OF SERVICE FOR USE OF WEBSITES AND SERVICES OF URACE E-SPOR DIŞ TİCARET LİMİTED ŞİRKETİ
You should carefully read the following Terms of Service Agreement (“Agreement” or “Terms of Service”) before using any website (“Site”) and mobile games/applications and services (collectively the “Services”) of URACE E-SPOR DIŞ TİCARET LİMİTED ŞİRKETİ (“Company” or “URACE”).
TERMS AND BINDING EFFECT
This is a legally binding Agreement. By using the Site or any Services of URACE, you hereby agree to abide by these Terms of Service, as they may be amended by Company from time to time in its sole discretion and without any notification to you. Company will declare the updated Terms of Service on the Site any time these Terms of Service have been changed or amended. It is your responsibility to review and follow these Terms of Service periodically, and if at any time you find these Terms of Service unacceptable, you must immediately leave the Site and cease all use of the Services and the Site. This Agreement constitutes the entire and only agreement between us and you relating to the subject matter of this Agreement and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site, the content, products or services provided by or through the Site.
If you breach these Terms of Service we may take action against you, including but not limited to terminating your account in Services.
PRIVACY
To provide the Services, we need information about you, and we only use your information where we have a legal basis to do so. Please refer to our Privacy Policy to help you understand what information we process and how we use it and what choices you have when you use our Services.
AGE OF USERS
The Services are intended solely for persons who are 13 years old or such higher age required in your country to use the Services. If you are under the legal age to form a binding contract in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
A person between the age of 13 and 18, requires consent of their parents or legal guardians ("Parents") for using Services of the Company. Parents can provide and verify their consent through the Site or through another authorized third-party provider made available through the Services. Where Parental consent is required, URACE hereby recommends that Parents monitor the child’s online activity and use of the Services. A Parent who wishes to recall their previously-provided consent to a child’s access to and use of the Services should disconnect from our Services.
To the extent permitted under applicable law, URACE rejects and declines any responsibility regarding any activities conducted by a person under 13 years old with or without the permission of a parent. If you are a parent and you give your consent or permission for your child to register for the Services, you thereby agree to the terms relating to use of the Services by your child.
DESCRIPTION OF SITES AND SERVICES
The Company operates online mobile gaming services, websites and mobile applications that accompany such gaming services.
YOUR OBLIGATIONS
By registering or using the Sites and Services in any way, you agree to the following:
REGISTRATION AND ACCOUNTS
To use the Services, you must register. In doing so, you agree to: (a) provide true, accurate, current and complete information about yourself (“User Data”) and (b) maintain and promptly update the User Data. You agree that URACE may use your Data to provide Services that you access or use and as otherwise set forth in these Terms and our Privacy Policy. You also agree to create only one account for your own personal use and not share your account or URACE subscription with others. If you provide any User Data that is inaccurate or not current or that you have created multiple accounts, URACE has reasonable grounds to suspect that such User Data is inaccurate or not current, URACE has the right to suspend or terminate your account and refuse current or future use of the Services. In consideration of your use of the Services, you represent that you are not a person barred from receiving services under the laws of any applicable jurisdiction.
You are solely responsible for maintaining the confidentiality of the password associated with your account and for restricting access to your password, your computer and mobile device while logged into the Services. You accept responsibility for all activities that occur under your account or from your computer and mobile devices. We endeavor to use reasonable security measures to protect against unauthorized access to your account. We cannot, however, guarantee absolute security of your account, your Content (as defined below) or the personal information you provide, and we cannot promise that our security measures will prevent unauthorized third parties from illegally accessing the Services or its contents. You agree to immediately notify URACE of any unauthorized use of your account or password, or any other breach of security, and confirm that you understand all risks of unauthorized access to User Data and any other information or content you provide to URACE. The use of unique and complex passwords is highly recommended for security reasons.
You may register for or log-in to your account via a third-party network, such as Facebook or Google. If you do so, you hereby authorize URACE to pre-populate the registration and other relevant information fields of your account and/or to use such third-party credentials to log you into your account. If you connect your account to a third-party network, you agree to comply with the terms and conditions and policies applicable to such third party.
By virtue of certain of the Services connecting to the Google Maps API, you hereby agree to be bound by the Google Maps/Google Earth Additional Terms of Service (including the Google Privacy Policy) in connection with your use of such Services.
INTERACTIONS WITH USERS
As a neutral facilitator, URACE is not directly involved in the actual interactions between athletes using the Services. URACE shall have no responsibility to confirm the identity of athletes. URACE shall also have no responsibility to confirm or verify the qualifications, background, or abilities of athletes using the Services. You shall at all time exercise common sense and good judgment when dealing with any athlete using the Services.
SUBSCRIPTION
Payments
To pay any fee, you must designate and provide information about your preferred payment method (e.g., credit card, online payment service, a third party, like iTunes or Google Play, or any other payment method made available by URACE) (the “Payment Method”). If you provide your payment information, you authorize us and certain third party service providers, payment card networks and payment processors to receive, store and encrypt your payment information. If you paid through the Google Play or iTunes store, you may change your Payment Method through the corresponding store account. No refunds or credits will be provided by URACE, other than as set forth in these Terms.
Fees
In order to access certain functionality of the Services, you may be required to pay subscription fees. Subscription fees, along with any required taxes, may be paid on a monthly or annual basis. All subscription fees are payable in advance. Users changing from monthly to annual subscriptions will have the annual rates take effect at the beginning of the next billing date. You agree to pay the subscription fees, and other charges you incur in connection with your URACE account, whether on a one-time or subscription basis. URACE reserves the right to increase subscription fees, any associated taxes, or to institute new fees at any time upon reasonable advance notice.
Auto-Renewal
Subscription fees will be billed automatically at the start of the monthly or annual period, as applicable. These fees will auto-renew until your subscription is downgraded or terminated. Your subscription fee will be the same as your initial charges unless you are otherwise notified in advance. You may cancel your subscription at any time, as described below.
Cancellation of Subscription
If you signed up through the Google Play or iTunes store, you may cancel your subscription by downgrading through the corresponding store. The cancellation of a subscription will go into effect at the end of your current billing cycle. When your subscription ends, your account will remain and become a free subscription. You can renew your subscription at any time without opening a new account, although the subscription fees may have increased. You can delete your account at any time.
PAYMENT OBLIGATIONS
Virtual Items
You may purchase with “real world” money a limited, non-transferable, non-sub-licensable, revocable virtual currencies, including but not limited to virtual cash, in-game coins and all other kinds of in-game monies, all for use in the games; (a) virtual in-game items (virtual currency and virtual in-game items referred to collectively as “Virtual Items”); and (b) other goods or services within the Services for your personal and non-commercial entertainment. You are only allowed to purchase Virtual Items from authorized partners of URACE, not in any other way.
All rights, title and interest in and to the Services (including without limitation any games, applications, titles, computer code, themes, objects, characters, names, dialogue, catch phrases, concepts, artwork, animations, sounds, musical compositions, audio-visual effects, moral rights, documentation, in-game chat transcripts and server software) are owned by or licensed to URACE, subject to copyright and other intellectual property rights under applicable laws and international conventions. You understand that URACE has the absolute right to manage, regulate, control, modify or eliminate Virtual Items and may revoke your access to them at any time and for any reason, with or without notice. URACE shall have no liability to you or any third party in the event that URACE exercises any such rights. You have no claim, right, title, proprietary or ownership interest in any of the Virtual Items regardless of any consideration paid for those virtual items.
Except when explicitly authorized by URACE, (i) transfers of Virtual Items to other users are strictly prohibited; (ii) outside of the Services, you may not buy or sell any Virtual Items for “real world” money or otherwise exchange items for value; and (iii) URACE does not recognize any such purported transfers of Virtual Items or the purported sale, gift or trade in the “real world” of anything that appears in the Services. Any attempt to do any of the foregoing is in violation of these Terms of Services and will result in an automatic termination of your rights to use the Virtual Items and may result in termination of your account. All Virtual Items are forfeited if your account is terminated or suspended for any reason, or if URACE discontinues providing the Services.
You agree that you will not assert or bring any claim against URACE, its affiliates, directors, officers, employees, agents, service providers or licensors relating to (i) a claim that you own any Virtual Items; or (ii) a claim for an alleged monetary value of Virtual Items lost upon deletion or suspension of your account or modification, termination or expiration of these terms.
Company either owns or has an exclusive license to all of the content in the mobile applications of URACE. Therefore no one other than Company has any right whatsoever to sell any game and mobile application of URACE content in any manner. In addition, you may not sell in-game items for real money or exchange virtual currency items outside of any game and mobile application of URACE.
YOU ACKNOWLEDGE THAT YOU HAVE NO PROPERTY RIGHTS WHATSOEVER IN VIRTUAL CURRENCY ITEMS. You further acknowledge that you may not use URACE virtual currency for any purpose outside the games and mobile application of URACE.
Fees, Refunds, And Return Policy
All sales through the Services are final. You acknowledge and agree that any applicable fees and other charges (including, without limitation, virtual items) are not refundable in whole or in part. You are fully liable for all charges to your account, including but not limited to any unauthorized charges. URACE does not issue any refunds or offer any exchanges of any products purchased on or through the Services.
IN ADDITION TO THE FOREGOING, YOU ACKNOWLEDGE THAT, EXCEPT AS OTHERWISE SET FORTH UNDER APPLICABLE LAW, YOU WILL NOT BE REFUNDED, RECEIVE MONEY, OR BE OTHERWISE COMPENSATED FOR UNUSED VIRTUAL ITEMS OR OTHER GAME ASSETS WHEN THE SERVICES ARE TERMINATED FOR ANY REASON AND WITHOUT NOTICE OR AN ACCOUNT IS CLOSED, WHETHER SUCH CLOSURE WAS VOLUNTARY OR INVOLUNTARY.
URACE may, at any time, amend the pricing, availability, specifications, content, descriptions or features of the game and mobile application or any products sold through the Services. The inclusion of any products through the Services at a particular time does not imply or warrant that these products will be available at any other time. All such changes will be effective immediately upon posting of such new product prices to the Services.
INTELLECTUAL PROPERTY RIGHTS
You acknowledge and agree that all copyright, trademarks and all other intellectual property rights in all materials and/or content made available as part of your use of this Site shall remain at all times vested in us or our licensors. You are permitted to use this material only as expressly authorized by us.

The Company, its officers, directors, employees, agents, and all third-party service providers disclaim all warranties, statutory, express or implied, including, but not limited to, any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement.
YOU EXPRESSLY AGREE THAT YOUR ATHLETIC ACTIVITIES (INCLUDING, BUT NOT LIMITED TO, CYCLING, RUNNING OR SWIMMING) CARRY CERTAIN INHERENT AND SIGNIFICANT RISKS OF PROPERTY DAMAGE, BODILY INJURY OR DEATH AND THAT YOU VOLUNTARILY ASSUME ALL KNOWN AND UNKNOWN RISKS ASSOCIATED WITH THESE ACTIVITIES EVEN IF CAUSED IN WHOLE OR PART BY THE ACTION, INACTION OR NEGLIGENCE OF URACE OR BY THE ACTION, INACTION OR NEGLIGENCE OF OTHERS.
YOU EXPRESSLY AGREE THAT URACE DOES NOT ASSUME RESPONSIBILITY FOR THE INSPECTION, SUPERVISION, PREPARATION, OR CONDUCT OF ANY RACE, CONTEST, OR CHALLENGE.
YOU EXPRESSLY AGREE TO RELEASE URACE, ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, REPRESENTATIVES, EMPLOYEES, PARTNERS AND LICENSORS (THE “RELEASED PARTIES”) FROM ANY AND ALL LIABILITY IN CONNECTION WITH YOUR ATHLETIC ACTIVITIES AND/OR USE OF THE URACE WEBSITES, MOBILE APPLICATIONS, CONTENT, SERVICES OR PRODUCTS, AND PROMISE NOT TO SUE THE RELEASED PARTIES FOR ANY CLAIMS, ACTIONS, INJURIES, DAMAGES, OR LOSSES ASSOCIATED WITH SUCH USE. YOU ALSO AGREE THAT IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH (a) YOUR USE OR MISUSE OF THE SERVICES, (b) YOUR USE OR MISUSE OF EQUIPMENT OR PROGRAMS CREATED OR LICENSED BY URACE WHILE ENGAGED IN ATHLETIC ACTIVITIES, (c) YOUR DEALINGS WITH THIRD-PARTY SERVICE PROVIDERS OR ADVERTISERS AVAILABLE THROUGH THE SERVICES, (d) ANY DELAY OR INABILITY TO USE THE SERVICES EXPERIENCED BY YOU, OR (e) ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES OR CONTENT OBTAINED THROUGH THE SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF URACE HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.
LIMITATION OF LIABILITY
In no event shall the Company, its officers, directors, employees, or agents, be liable to you for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever resulting from any:
INDEMNITY
You agree to defend, indemnify and hold harmless the Company, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that one of your User Submissions caused damage to a third party.
TERMINATION
You agree that the Company may, under certain circumstances and without prior notice, immediately terminate your account, any associated email address, and access to the Services. Cause for such termination shall include, but not be limited to, (a) breaches or violations of the Terms of Service or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) discontinuance or material modification to the Services (or any part thereof), (e) unexpected technical or security issues or problems, (f) extended periods of inactivity, (g) engagement by you in fraudulent or illegal activities, and/or (h) nonpayment of any fees owed by you in connection with the Services. Termination of your account includes (a) removal of access to all offerings within the Services, (b) deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and (c) barring of further use of the Services. Further, you agree that all terminations for cause shall be made in Company's sole discretion and that the Company shall not be liable to you or any third party for any termination of your account, any associated email address, or access to the Services.
GOVERNING LAW
These Terms of Service and any dispute or claim arising out of, or related to them, shall be governed by and construed in accordance with the laws of Turkey.
SEVERABILITY
If, for whatever reason, a court of competent jurisdiction finds any term or condition in these Terms of Service to be unenforceable, all other terms and conditions will remain unaffected and in full force and effect.
FORCE MAJEURE
URACE shall not be liable for any delay or failure to perform resulting from causes outside the reasonable control of URACE, including without limitation any failure to perform hereunder due to unforeseen circumstances or cause beyond URACE’ control such as acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, pandemic, energy, labor or materials.
BY USING THE SERVICES OR ACCESSING THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.

- You agree not to cheat, hack or make any attack on the server in any way;
- You agree not to transmit or make available in the Services or Site any advertising, promotional materials or any other forms of solicitation;
- You agree not to transmit any material that contains viruses, worms, traps or malicious computer code;
- You agree not to disrupt the normal flow of the application and dialogue, or otherwise act in a manner that negatively affects other people’s ability to use the Services;
- You agree not to collect, process or store personal data about other people using the Services;
- You agree only to use your own credit card with the Services;
- You agree not to use any URACE trademark, service mark or tradename, or any variation or misspelling thereof.

All rights, title and interest in and to the Services (including without limitation any games, applications, titles, computer code, themes, objects, characters, names, dialogue, catch phrases, concepts, artwork, animations, sounds, musical compositions, audio-visual effects, moral rights, documentation, in-game chat transcripts and server software) are owned by or licensed to URACE, subject to copyright and other intellectual property rights under applicable laws and international conventions. You understand that URACE has the absolute right to manage, regulate, control, modify or eliminate Virtual Items and may revoke your access to them at any time and for any reason, with or without notice. URACE shall have no liability to you or any third party in the event that URACE exercises any such rights. You have no claim, right, title, proprietary or ownership interest in any of the Virtual Items regardless of any consideration paid for those virtual items.
Except when explicitly authorized by URACE, (i) transfers of Virtual Items to other users are strictly prohibited; (ii) outside of the Services, you may not buy or sell any Virtual Items for “real world” money or otherwise exchange items for value; and (iii) URACE does not recognize any such purported transfers of Virtual Items or the purported sale, gift or trade in the “real world” of anything that appears in the Services. Any attempt to do any of the foregoing is in violation of these Terms of Services and will result in an automatic termination of your rights to use the Virtual Items and may result in termination of your account. All Virtual Items are forfeited if your account is terminated or suspended for any reason, or if URACE discontinues providing the Services.
You agree that you will not assert or bring any claim against URACE, its affiliates, directors, officers, employees, agents, service providers or licensors relating to (i) a claim that you own any Virtual Items; or (ii) a claim for an alleged monetary value of Virtual Items lost upon deletion or suspension of your account or modification, termination or expiration of these terms.
Company either owns or has an exclusive license to all of the content in the mobile applications of URACE. Therefore no one other than Company has any right whatsoever to sell any game and mobile application of URACE content in any manner. In addition, you may not sell in-game items for real money or exchange virtual currency items outside of any game and mobile application of URACE.
YOU ACKNOWLEDGE THAT YOU HAVE NO PROPERTY RIGHTS WHATSOEVER IN VIRTUAL CURRENCY ITEMS. You further acknowledge that you may not use URACE virtual currency for any purpose outside the games and mobile application of URACE.
Fees, Refunds, And Return Policy
All sales through the Services are final. You acknowledge and agree that any applicable fees and other charges (including, without limitation, virtual items) are not refundable in whole or in part. You are fully liable for all charges to your account, including but not limited to any unauthorized charges. URACE does not issue any refunds or offer any exchanges of any products purchased on or through the Services.
IN ADDITION TO THE FOREGOING, YOU ACKNOWLEDGE THAT, EXCEPT AS OTHERWISE SET FORTH UNDER APPLICABLE LAW, YOU WILL NOT BE REFUNDED, RECEIVE MONEY, OR BE OTHERWISE COMPENSATED FOR UNUSED VIRTUAL ITEMS OR OTHER GAME ASSETS WHEN THE SERVICES ARE TERMINATED FOR ANY REASON AND WITHOUT NOTICE OR AN ACCOUNT IS CLOSED, WHETHER SUCH CLOSURE WAS VOLUNTARY OR INVOLUNTARY.
URACE may, at any time, amend the pricing, availability, specifications, content, descriptions or features of the game and mobile application or any products sold through the Services. The inclusion of any products through the Services at a particular time does not imply or warrant that these products will be available at any other time. All such changes will be effective immediately upon posting of such new product prices to the Services.
INTELLECTUAL PROPERTY RIGHTS
You acknowledge and agree that all copyright, trademarks and all other intellectual property rights in all materials and/or content made available as part of your use of this Site shall remain at all times vested in us or our licensors. You are permitted to use this material only as expressly authorized by us.

LIMITATION OF LIABILITY
In no event shall the Company, its officers, directors, employees, or agents, be liable to you for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever resulting from any:
- Errors, mistakes, or inaccuracies of content,
- Personal injury or property damage, of any nature whatsoever, resulting from your access to and use of our Services,
- Any unauthorized access to or use of our secure servers and/or any and all personal information stored therein,
- Any interruption or cessation of transmission to or from our Services,
- Any bugs, viruses, Trojan horses, or the like, which may be transmitted to or through our Services by any third party, and/or

INDEMNITY

TERMINATION

Cause for such termination shall include, but not be limited to, (a) breaches or violations of the Terms of Service or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) discontinuance or material modification to the Services (or any part thereof), (e) unexpected technical or security issues or problems, (f) extended periods of inactivity, (g) engagement by you in fraudulent or illegal activities, and/or (h) nonpayment of any fees owed by you in connection with the Services. Termination of your account includes (a) removal of access to all offerings within the Services, (b) deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and (c) barring of further use of the Services. GOVERNING LAW
These Terms of Service and any dispute or claim arising out of, or related to them, shall be governed by and construed in accordance with the laws of Turkey.
SEVERABILITY
If, for whatever reason, a court of competent jurisdiction finds any term or condition in these Terms of Service to be unenforceable, all other terms and conditions will remain unaffected and in full force and effect.
FORCE MAJEURE
URACE shall not be liable for any delay or failure to perform resulting from causes outside the reasonable control of URACE, including without limitation any failure to perform hereunder due to unforeseen circumstances or cause beyond URACE’ control such as acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, pandemic, energy, labor or materials.
BY USING THE SERVICES OR ACCESSING THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
